Terms of Service

The agreement between you and CyberFruit when you use our website and AI diligence engine.

Effective date: June 25, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "Customer") and CyberFruit Lab - FZCO, operating as "CyberFruit" ("we", "us", or "our"). By accessing or using our website, AI diligence engine, or any other product or service we provide (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms.

2. Modifications to the Terms

We may modify these Terms from time to time. Changes are effective when posted to this page with an updated effective date. Material changes will, where practical, be communicated through the Services or by email. Your continued use of the Services after a change constitutes acceptance of the updated Terms.

3. Eligibility

The Services are intended for professional use by investors, founders, and their teams. You represent and warrant that (a) you are at least 18 years old, (b) you have the legal authority to bind any entity on whose behalf you use the Services, and (c) your use of the Services will comply with all applicable laws and regulations.

4. The Services

CyberFruit is an AI-native investment committee. You submit a startup to screen — typically a company website — and our engine performs diligence over the public record and returns a report: an evidence-labeled read of the market, traction, and founder signals; a verdict; the diligence gaps to corroborate; the questions to ask before the first call; and, for founders, an action plan. Access is sold through membership tiers and one-off report credits.

4.1 Service availability

We do not guarantee uninterrupted operation

The Services depend on third-party large-language-model providers, hosting, and other infrastructure. The Services may be temporarily unavailable, delayed, or degraded due to maintenance, outages, third-party failures, rate limits, or other factors outside our reasonable control. We work to minimize downtime but do not guarantee uninterrupted, real-time availability. The Disclaimers (Section 15) and Limitation of Liability (Section 14) apply.

4.2 Research and aggregated signals

We may use aggregated and de-identified signals derived from use of the Services — for example, verdict distributions or evidence-coverage benchmarks — to conduct internal analysis, improve the Services, and publish industry benchmarks. We do not publish research in a way that identifies you.

5. Accounts and Access

Account sign-in is provided through a third-party authentication provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly if you suspect any unauthorized access. We may suspend or terminate access if we believe an account has been compromised, is being used in violation of these Terms, or is creating risk for other customers or the platform.

6. Your Inputs and Report Outputs

6.1 Your inputs

You are responsible for the startups you submit and any context you add. You represent that you have a lawful basis to request analysis of the company and individuals you submit, and that your use of the resulting report complies with applicable law.

6.2 Report outputs and license

A report generated for you is private to you unless it is published to the curated library. You may use your reports for your own investment, diligence, or fundraising-preparation purposes. You grant us a worldwide, non-exclusive, royalty-free license to process your inputs and the data we gather solely to provide the Services, operate the diligence engine, secure the platform, and improve the Services consistent with our Privacy Policy.

We populate the curated library from independent public sources and market signals, not from your private runs. We do not use your private report inputs or runs as the basis for curated reviews, and we do not guarantee that a report on any particular startup — including one you have run privately — will appear in the curated library.

6.3 Confidentiality

We treat your account data and private reports as confidential. We will not disclose them to third parties except (a) to our subprocessors as needed to deliver the Services, (b) where required by law, or (c) with your consent.

7. Public-Record Diligence and Evidence Labels

Our reports draw on information that is publicly available about a company and its founders. Each finding carries an evidence label that distinguishes a corroborated fact from an unverified claim, with its source and date. While we work continuously to improve coverage and accuracy, we do not warrant that any finding, source, label, or verdict is complete, current, or free of error. You are responsible for independently verifying any finding before you rely on it.

8. Not Investment Advice; No Fundraising Guarantees

Reports are informational, not advice

CyberFruit reports, verdicts, and signals are informational and educational. They are not investment advice, not a recommendation, solicitation, or offer to buy, sell, or hold any security or interest in any company, and not a substitute for your own due diligence or for advice from a licensed professional. Investment decisions you make are your own.

For founders, the Services help you prepare to raise — they do not guarantee that you will raise capital, secure a meeting, or achieve any particular outcome. For investors, a verdict is earned conviction traced to evidence; it is not a promise of returns or of the accuracy of any underlying claim.

9. Payments and Refunds

9.1 Payment terms

Fees for memberships and report credits are due in advance and are processed by our third-party payment processor. By submitting a payment method, you authorize us (or our payment processor) to charge that method for all amounts owed in connection with your use of the Services, including any taxes and applicable surcharges.

9.2 Credits and digital delivery

Report credits and memberships are digital products. Credits are valid for the period stated at the time of purchase and expire at the end of that period. Because running a report consumes AI processing and other resources we incur on a continuous basis, credits are considered consumed when a report run begins, and amounts paid are generally non-refundable once access has been provisioned or a report has been run.

9.3 Subscriptions are non-refundable

Subscription fees are non-refundable

Membership subscription fees are non-refundable, including the current billing period and any prepaid future periods. The Services consume AI processing and other resources on a continuous basis, which is why subscription fees cannot be refunded once the recurring engagement has started.

9.4 Subscription cancellation

You may cancel an active subscription at any time from your account settings or by contacting us at hi@cyberfruit.ai. Cancellation takes effect at the end of your then-current billing period, and no refund is issued for the current billing period or for any prepaid future periods. Credits already in your balance are not revoked by a plan change.

9.5 Chargebacks and disputes

If you dispute a charge, you agree to contact us at hi@cyberfruit.ai and give us a reasonable opportunity (no less than 30 days) to resolve the issue before initiating a chargeback with your payment provider. Chargebacks initiated in bad faith may result in immediate suspension of the Services, forfeiture of any prepaid balances, and recovery of chargeback fees and legal costs.

10. Non-Transferability

The Services are personal to you and are non-transferable. You may not assign or transfer your account, subscription, credits, or any rights or obligations under these Terms without our prior written consent. Any attempt to do so is void.

11. AI Output and Service Accuracy

Our engine generates outputs — findings, evidence labels, verdicts, summaries, and recommendations — based on the public record it reads and the models we operate. AI outputs may be incomplete, inaccurate, or otherwise unfit for a particular decision. You are responsible for reviewing AI outputs before you rely on them for any material decision, investment, or communication.

If you notice errors, omissions, hallucinations, or any other issue with a report, please contact us at hi@cyberfruit.ai. Reporting issues helps us investigate and roll out fixes quickly.

12. Acceptable Use

You agree not to use the Services to:

  • Submit, store, or transmit content that is unlawful, fraudulent, deceptive, or harmful.
  • Request analysis you have no lawful basis to request, or use a report to harass, defame, or unlawfully discriminate against any person.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to the Services, related systems, or other customers' data.
  • Use any automated means to scrape, resell, reverse-engineer, or interfere with the Services or their outputs.
  • Violate any applicable law, regulation, securities rule, or third-party right in your use of the Services.

Violations may result in suspension or termination of your access, forfeiture of prepaid fees, and recovery of any damages we incur.

13. Intellectual Property

The Services, including the underlying software, model configurations, prompts and prompt templates, evaluation suites, diligence frameworks, dashboards, documentation, and the CyberFruit name and marks, are owned by CyberFruit Lab - FZCO and our licensors and are protected by intellectual-property laws. No license is granted to you except the limited right to use the Services as described in these Terms.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYBERFRUIT, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFIT, REVENUE, DATA, GOODWILL, INVESTMENT LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CYBERFRUIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND U.S. DOLLARS (US$1,000).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above limitations may not apply to you.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES OR ANY REPORT WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE, OR THAT ANY DEFECT WILL BE CORRECTED.

We are not responsible for the acts or omissions of third parties, including hosting providers, model providers, and any third-party tools you integrate with the Services.

16. Indemnification

You will defend, indemnify, and hold harmless CyberFruit Lab - FZCO, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party right (including any data-protection, defamation, or securities law), or (d) any inputs, content, or instructions you provide, or any use you make of a report, that cause harm to a third party.

17. Termination and Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, if (a) you breach these Terms, (b) you fail to pay amounts owed, (c) your use creates a security or legal risk for us or for other customers, or (d) we are required to do so by law. On termination, your right to use the Services ends; sections that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitation of liability) will survive.

18. Third-Party Services

The Services rely on third-party providers, including authentication, payment, hosting, and large-language-model providers. Your use of those providers' functionality through the Services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

20. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms (together with any order form or written agreement we sign with you, and our Privacy Policy) constitute the entire agreement between you and us regarding the Services and supersede any prior or contemporaneous discussions or agreements.

21. Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control — including acts of God, natural disasters, war, terrorism, civil disturbance, government action, labor disruption, telecommunications or internet failures, third-party provider outages, fire, flood, and pandemic.
